These Terms of Service (“Terms”) govern your access to and use of https://elvabrand.com, including any purchases made through the website.

The website and Services are operated by Novira Ventures LLC, doing business as Elva (“Elva,” “we,” “us,” or “our”).

By visiting the website, creating an account, or placing an order, you agree to these Terms, our Privacy Policy, Return and Refund Policy, and Shipping Policy.

If you do not agree, please do not use the Services.

1. Eligibility

You must be at least the age of majority in your place of residence and legally capable of entering into a binding agreement to place an order.

If you use the Services on behalf of a business or another person, you represent that you have authority to bind that person or entity.

2. Online Store Platform

Our store is hosted by Shopify, which provides the ecommerce platform that allows us to offer and sell products.

Your use of certain Shopify features, including customer accounts, Shop Pay, and accelerated checkout methods, may also be subject to Shopify’s applicable terms and privacy notices.

3. Products

Elva sells apparel and related accessories.

We make reasonable efforts to present product descriptions, materials, sizing, colors, features, care instructions, and images accurately.

Colors and appearance may vary slightly depending on lighting, photography, screen settings, production batches, and individual device displays.

Please review the product description and size guide before ordering. A minor visual difference that does not materially affect the product’s advertised characteristics does not automatically make the product defective.

We may update, modify, discontinue, or limit products at any time. These changes do not affect orders already accepted.

4. Shaping and Appearance Claims

Elva products are apparel and are not medical devices.

Any reference to shaping, sculpting, smoothing, support, compression, or improved appearance describes the product’s intended visual or physical effect while it is being worn.

Individual results vary depending on body shape, product selection, size, fit, styling, and other factors.

Unless expressly supported and stated otherwise, our products are not intended to:

• Cause weight or fat loss;

• Permanently change the body;

• Eliminate or treat cellulite;

• Treat a medical condition;

• Replace medical advice or treatment; or

• Guarantee a particular physical result.

Nothing on the website should be interpreted as medical advice.

5. Product Availability

Products are offered subject to availability.

If an item becomes unavailable after you order it, we may:

• Cancel and refund the unavailable item; or

• Offer a replacement only with your express agreement.

We will not require you to accept store credit or a replacement instead of a refund for an unavailable item.

6. Prices and Currency

Prices are displayed in U.S. dollars (USD) unless another currency is clearly indicated.

Applicable taxes, shipping charges, discounts, and other mandatory charges will be displayed before you complete checkout.

We may change prices and promotions at any time, but changes will not affect an order already accepted.

If a price or promotion is clearly incorrect because of a technical, typographical, or system error, we may cancel the affected order and issue a full refund.

7. Promotions, Packs, and Discounts

Promotions and bundle discounts are subject to the conditions displayed with the offer.

Unless otherwise stated:

• Discounts cannot be combined;

• Discount codes have no cash value;

• Promotions may be modified or ended prospectively;

• Product and size availability is not guaranteed; and

• A refund for part of a discounted pack may be recalculated based on the price applicable to the number of items retained.

Any recalculation for a partial bundle return will be explained in accordance with our Return and Refund Policy.

Free shipping applies only when the order satisfies the threshold and destination requirements displayed at checkout.

8. Orders

You must provide current, complete, and accurate order, contact, shipping, and billing information.

Before submitting an order, you can review and correct the items, quantities, address, and total price.

An order confirmation acknowledges that we received your order. It does not necessarily mean that the order has been finally accepted or shipped.

We may refuse or cancel an order for a legitimate reason, including:

• Product unavailability;

• Payment failure;

• An incorrect or undeliverable address;

• A clear pricing or system error;

• Suspected fraud, abuse, resale, or unauthorized activity;

• Violation of these Terms; or

• A prior unresolved payment dispute.

If we cancel an order after payment has been collected, we will refund the canceled amount to the original payment method.

9. Payment

Payment is processed using the methods displayed at checkout, which may include credit or debit cards, Shop Pay, Apple Pay, or Google Pay.

Payments are processed by Shopify Payments and other authorized payment providers. We generally do not receive or store complete payment card numbers.

You authorize the applicable payment provider to charge the amount displayed at checkout.

You are responsible for ensuring that you are authorized to use the payment method submitted.

10. Shipping and Delivery

We currently ship to eligible addresses displayed at checkout.

Unless a different timeframe is clearly stated before purchase:

• Order processing generally takes 1–3 business days; and

• Estimated transit generally takes 8–14 business days after shipment.

Delivery times are estimates, not guarantees, and may be affected by carrier operations, destination, customs processing, weather, holidays, high-volume periods, incorrect addresses, and circumstances outside our reasonable control.

Products may be shipped from different fulfillment centers. A single order may arrive in multiple packages without additional undisclosed shipping charges.

If we cannot ship within the timeframe promised at purchase, we will provide notice and, where required by law, offer the choice to accept the delay or cancel the affected order for a refund.

Tracking information may require 24–72 hours after shipment to begin displaying updates.

11. Address Accuracy and Delivery Issues

You are responsible for providing a complete and accurate shipping address.

Contact us as soon as possible if you notice an error. We cannot guarantee that an address can be changed after an order enters processing.

If delivery fails because of an incorrect or incomplete customer-provided address, refusal, or failure to collect the package, reasonable reshipping or return-to-sender costs may apply where permitted by law.

A tracking status showing delivery does not automatically resolve every claim. We may review carrier information, delivery evidence, address information, and other relevant circumstances when investigating a reported missing package.

12. Returns, Refunds, and Exchanges

Returns, refunds, and exchanges are governed by our Return and Refund Policy.

You generally have 14 calendar days after delivery to request an eligible return.

Do not ship a return to the address printed on the original package or to our business mailing address unless we expressly instruct you to do so.

The designated return center may be located outside the United States. Return shipping costs for change-of-mind returns are generally the customer’s responsibility.

Nothing in these Terms limits any remedy that cannot legally be excluded.

13. Incorrect, Damaged, or Defective Products

Inspect your order after delivery.

If an item is incorrect, damaged, defective, or materially different from its description, contact us as soon as reasonably possible.

We may request reasonable photographs, packaging information, carrier information, or a short video needed to evaluate the issue.

Depending on the circumstances, we may provide a replacement, refund, or another appropriate remedy.

Do not return an item before receiving instructions.

14. No Separate Written Product Warranty

Unless a specific written warranty is expressly provided with a product, Elva does not offer a separate written product warranty.

Products remain subject to any implied warranties or consumer protections that cannot legally be excluded or limited.

Improper use, failure to follow care instructions, alteration, accidental damage, ordinary wear, or use inconsistent with the product’s intended purpose may not qualify as a defect.

15. Customer Accounts

You are responsible for maintaining the confidentiality and security of your customer account and authentication methods.

You must notify us if you believe your account has been accessed without authorization.

We may suspend or restrict an account when reasonably necessary to address fraud, security risks, unlawful activity, or violations of these Terms.

16. Reviews and User Content

You may choose to submit reviews, ratings, photographs, videos, comments, or other content.

You retain ownership of your original content.

By submitting content for publication, you grant Elva a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, and use that content in connection with our website, products, customer communications, and marketing, subject to applicable law.

This license does not transfer ownership of your intellectual property to Elva.

You represent that:

• The content reflects your honest experience or opinion;

• You have the right to submit it;

• It does not violate another person’s privacy, publicity, copyright, trademark, or other rights; and

• It is not unlawful, threatening, harassing, obscene, fraudulent, or knowingly false.

We may remove content that violates these standards, contains private information, is unrelated to our products or Services, or is reasonably suspected to be fraudulent.

Nothing in these Terms restricts or penalizes your right to leave an honest review, including a negative review.

17. Intellectual Property

The website and its content, including trademarks, branding, logos, text, product descriptions, graphics, photographs, videos, layout, and software, are owned by or licensed to Elva and are protected by applicable intellectual property laws.

You may use the website only for personal, non-commercial shopping purposes.

Without written permission, you may not:

• Copy, reproduce, republish, sell, or commercially exploit website content;

• Use our trademarks or branding in a misleading manner;

• Scrape or extract content using automated tools;

• Circumvent security or access restrictions; or

• Create an unauthorized derivative work from protected content.

You may not use the Services:

• For unlawful, fraudulent, deceptive, or abusive purposes;

• To violate intellectual property, privacy, publicity, or other rights;

We do not control third-party websites or services and are not responsible for their independent content, availability, security, privacy practices, or terms.

Your use of a third-party service may be governed by that provider’s own terms.

20. Website Availability

We aim to keep the website accurate, secure, and available, but we do not guarantee uninterrupted or error-free access.

The website may occasionally be unavailable because of maintenance, updates, technical failures, provider outages, or circumstances beyond our reasonable control.

We may correct errors and update website content without prior notice, provided that changes do not improperly alter an already accepted order.

21. Disclaimer Regarding the Website

To the maximum extent permitted by law, the website and its informational content are provided on an “as available” basis.

We do not guarantee that the website will always be uninterrupted, error-free, or free from harmful components.

This section does not disclaim or limit warranties, remedies, or protections concerning purchased products that cannot legally be excluded.

22. Limitation of Liability

To the maximum extent permitted by law, Elva will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of the website or a transaction.

Where liability may lawfully be limited, Elva’s aggregate liability for a claim relating to a particular order will not exceed the amount paid for the product or order giving rise to the claim.

These limitations do not apply to liability that cannot legally be excluded or limited, including where applicable liability for:

• Fraud or intentional misconduct;

• Gross negligence;

• Personal injury caused by a defective product; or

• Mandatory consumer rights.

Some jurisdictions do not permit certain exclusions or limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted.

23. Indemnification

To the extent permitted by law, you agree to indemnify Elva against third-party claims, losses, or reasonable expenses arising directly from your unlawful use of the Services, your intentional violation of these Terms, or your infringement of another person’s rights.

This section does not require a consumer to indemnify Elva for Elva’s own negligence, unlawful conduct, or breach.

24. Force Majeure

Elva is not responsible for delay or failure caused by events outside our reasonable control, including natural disasters, severe weather, war, terrorism, civil unrest, labor disputes, epidemics, government actions, carrier disruptions, customs delays, power failures, or widespread internet or service-provider outages.

This section does not remove any cancellation or refund right that applies when an order cannot be fulfilled within the required timeframe.

25. Privacy

Our collection and use of personal information are described in our Privacy Policy.

26. Informal Dispute Resolution

Before filing a legal claim, you agree to contact us at hello@elvabrand.com and provide a brief description of the issue and requested resolution.

We will attempt in good faith to resolve the matter informally.

This requirement does not prevent either party from seeking urgent injunctive relief, using an eligible small-claims process, disputing a payment through rights provided by law, or contacting a government or consumer-protection authority.

27. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-law principles.

Where legally permitted, disputes that cannot be resolved informally may be brought in the state courts located in Sheridan County, Wyoming, or the applicable federal court serving that location.

Nothing in this section deprives a consumer of any mandatory protection or right to bring a claim in another forum when applicable law does not permit that right to be waived.

28. Changes to These Terms

We may update these Terms to reflect changes to the Services, our practices, or applicable law.

Changes apply prospectively from the date they are posted unless otherwise required by law. The Terms applicable to an order are generally those in effect when the order was placed.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.

29. Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted or severed, and the remaining provisions will remain effective.

30. No Waiver

Failure to enforce a provision of these Terms does not waive our right to enforce it later.

31. Assignment

You may not assign your rights or obligations under these Terms without our consent.

We may assign these Terms as part of a merger, acquisition, restructuring, financing, or sale of all or part of our business, subject to applicable law.

32. Entire Agreement

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Elva regarding use of the Services and purchases from the website.
